These general terms and conditions of sale (the "Terms and Conditions") govern the purchase of goods and services ("Goods") by any customer ("Buyer") from Craft Laboratories LTD, with its registered address at The Granary, Burley Lane, Ashe, Basingstoke, RG25 3AG, Hampshire, England, UK ("CraftLabs"). All additional terms, guidelines, and rules, including CraftLabs Privacy Policy and Terms of Use, are incorporated by reference into these Terms and Conditions.

1. General

1.1. CraftLabs Quotations: CraftLabs provides a Quote for Buyer’s Goods based on a 3D CAD model submitted by the Buyer to CraftLabs ("Quote"). Any alteration to the 3D CAD model or any technical specification necessitates an updated Quote. Quotes remain valid for 30 days, after which pricing may change without prior notice. CraftLabs reserves the right to rectify clerical and other typographical errors in any Quote.
 

1.2. Offer and Contract Acceptance: These Terms and Conditions, along with a valid Quote, constitute a legally binding agreement (the “Agreement”) and contain the entire understanding between the Buyer and CraftLabs for the Goods provided by CraftLabs, superseding any other agreements, representations, or understandings between the parties, whether oral or written. The Buyer is considered to have accepted this Agreement upon accepting a Quote or issuing a purchase order or any other communication expressing the Buyer’s intention to proceed with the Agreement (“Order”). This Agreement governs any Order accepted by CraftLabs from the Buyer and/or the Buyer’s authorised representatives based on the Quote provided. The terms and conditions herein shall exclusively govern the purchase and sale of the Goods between the Buyer and CraftLabs; no other terms and conditions shall apply, and all other terms are expressly excluded, including, but not limited to, any terms contained in a request for quotation, purchase order, website, or elsewhere. Regarding technical specifications, including 2D technical drawings, material, surface finish, and quantity, those outlined in the Quote shall take precedence, and all other terms and conditions shall be excluded and considered inapplicable.
 

1.3. CraftLabs website, applications, products, and services are intended for businesses and their representatives. CraftLabs does not cater to consumers – individuals seeking to utilise CraftLabs products and services for personal or household purposes.

2. Orders

2.1. The Buyer is responsible for ensuring that all information provided in a quotation request or Order is accurate and complete, and that the specifications for the Buyer’s Order comply with CraftLabs' instructions, taking into account all manufacturing and other limitations as specified by CraftLabs on its website, including its manufacturing standards or as otherwise provided to the Buyer.


2.2. CraftLabs is not obligated to accept an Order and reserves the right to reject any Order at its sole discretion before acceptance. Orders are considered accepted by CraftLabs only if expressly confirmed in writing.


2.3. The acceptance of any Order is subject to certain conditions precedent, including but not limited to: (i) the availability of sufficient resources to CraftLabs to fulfil the Buyer’s Order within the stated timelines and at the agreed price, (ii) Providing incorrect information upon which the Buyer’s Order was placed, including information regarding pricing and specifications, (iii) compliance of the content included in the Buyer’s Order with CraftLabs’ Content Policy (as defined in Section 10.4), and (iv) satisfactory completion of any credit check or receipt of prepayment or other payment assurance, as requested at CraftLabs’ sole discretion.


2.4. Any changes made by the Buyer to an Order after submission are subject to CraftLabs' acceptance and may incur additional charges, including additional delivery delays or charges, in addition to alterations to the original price.

3. Subcontracting

3.1. The Buyer acknowledges and agrees that CraftLabs may engage its vetted network of subcontractors worldwide to fulfil the Buyer’s Order.


3.2. Orders may be delivered directly from CraftLabs' subcontractor to the Buyer, bypassing CraftLabs.

4. Prices

4.1. All prices are inclusive of VAT (at the current rates and are correct at the time of entering information) or any other applicable taxes, governmental fees, assessments, or duties unless expressly stated otherwise herein. The Buyer is responsible for all taxes associated with the Order (excluding taxes based on CraftLabs’ income). Additionally, the Buyer shall pay any applicable taxes, governmental fees, assessments, or duties charged by CraftLabs in addition to the quoted prices.
 

4.2. In the event of significant changes to cost price factors, CraftLabs reserves the right to adjust the price provided in the Quote and pass on such additional costs to the Buyer. The Buyer retains the right to reject the revised price, leading to the cancellation of the order.


4.3. If special packing or shipping instructions are agreed upon by CraftLabs, the Buyer shall be liable for any additional charges incurred by CraftLabs as a result, as specified by CraftLabs.

5. Payment

5.1. CraftLabs may issue separate invoices for parts of an Order.
 

5.2. For Orders involving tooling, CraftLabs may request the Buyer to cover the tooling costs before accepting the Order. CraftLabs is not liable for any delays in fulfilling the Buyer’s Order caused by the Buyer’s delayed payments.
 

5.3. CraftLabs may demand an advance payment before fulfilling the Buyer’s Order. CraftLabs is not responsible for any delays in fulfilling the Buyer’s Order caused by the Buyer’s delayed payments.
 

5.4. Unless otherwise agreed, amounts due shall be paid by credit card or bank transfer, as specified by CraftLabs. All costs associated with the chosen payment method shall be borne by the Buyer.
 

5.5. All amounts due to CraftLabs shall be paid in full without any deductions.
 

5.6. If any amount becomes overdue, the Buyer shall be responsible for all costs incurred by CraftLabs in collecting the overdue amounts, including collection costs, filing fees, and reasonable legal fees.
 

5.7. Additionally, in case of overdue payments, CraftLabs reserves the right to suspend delivery of Goods or prevent the Buyer from placing future Orders until all outstanding amounts are settled.

6. Specifications of Parts and Tooling

6.1. The Buyer is responsible for providing CraftLabs with accurate and complete 3D CAD data and/or drawings required for the production of the Goods and tooling. All relevant files necessary for manufacturing the Buyer’s Goods and tooling must be uploaded by the Buyer to CraftLabs’ website or provided to CraftLabs in the agreed-upon manner for specific or special Orders. CraftLabs is not obliged to review any specifications, data, or drawings provided by the Buyer and reserves the right to reject or cancel any Order not uploaded to CraftLabs’ website by the Buyer.
 

6.2. CraftLabs utilises the 3D CAD data and/or drawings provided by the Buyer to fabricate Goods and tooling. In cases where 2D technical drawings prevail over 3D CAD models, such precedence applies only to parameters for tolerances and/or threads, if specified. Otherwise, 3D CAD data takes precedence during production, if provided before CraftLabs accepts the Buyer’s Order, or unless otherwise agreed upon. CraftLabs is not liable for any discrepancies between 3D CAD data and 2D technical drawings.
 

6.3. If an Order includes threads or specific tolerances, it is the Buyer’s responsibility to provide a technical drawing with the relevant specifications. The Buyer must ensure accurate representation of this information in the quotation request and verify its correctness in the Quote.
 

6.4. The Buyer bears sole legal responsibility for the design specifications and performance of the goods subject to the Order. Additionally, the Buyer is solely responsible for ensuring that the purchased goods and services from CraftLabs comply with applicable regulatory requirements. CraftLabs will not be held accountable for incorrectly designed Goods, Goods with assembly issues, Goods with thick cross-sections causing sink marks or warping, or Parts produced based on incorrectly provided CAD data or technical drawings.

7. Tooling Ownership and Storage

7.1. Ownership of Custom Tooling: All custom tooling developed by the Buyer for their Goods remains the property of the Buyer. However, reusable proprietary components or components developed by CraftLabs or its manufacturing partners shall remain the property of CraftLabs and/or its manufacturing partners. Custom tooling remains at CraftLabs’ or its manufacturing partner’s production facility unless otherwise agreed upon in writing.

7.2. While CraftLabs is producing Goods for the Buyer at CraftLabs or its manufacturing partner’s production facilities, CraftLabs will guarantee the Buyer’s tooling for the agreed-upon tool life (as stated in the Order). Subject to Section 7.3.

7.3. After a two-year period of inactivity, CraftLabs may, at its discretion, dispose of the tooling, including any custom tooling

8. Delivery, Inspection, Acceptance, Complaints, and Retention of Title

8.1. Shipments are dispatched by the commercial carrier chosen by CraftLabs or its manufacturing partners. CraftLabs will pre-pay and add delivery costs to the invoice as a convenience.

8.2. CraftLabs will use commercially reasonable efforts to meet agreed-upon shipping dates; however, shipping or delivery dates are approximate. CraftLabs is not liable for delays in delivery or shipment or any damage or loss resulting from such delays. Failure to meet a shipping date or delivery period does not constitute a breach of the Order or these Terms and Conditions.

8.3. The Buyer must inspect the Goods immediately upon receipt and notify CraftLabs in writing within ninety (90) calendar days of delivery if any part of the Order is missing, defective, incorrect, or damaged. Failure to notify CraftLabs within ninety (90) calendar days will deem the Goods accepted, non-returnable, and non-refundable. For batch orders, the inspection period restarts with the delivery of each respective batch.

8.4. Any dispute must be raised within the timeframe specified in Section 8.3, and if requested by CraftLabs, the Buyer must return the Goods within the agreed upon deadline between parties. Goods returned after this period will not be processed or refunded.

8.5. If the Buyer alters the Goods without CraftLabs prior written consent after receiving the Order, the Goods will be considered accepted, non-returnable, and non-refundable.

8.6. CraftLabs retains ownership of the Goods until delivery, at which point title passes to the Buyer

9. Intellectual Property Rights and Publicity

9.1. By providing data to CraftLabs, Buyer grants CraftLabs a non-exclusive, royalty-free, fully paid-up, worldwide, and transferable right to use, copy, distribute, and display the data (including 3D CAD Data and drawings), documentation, drawings, and specifications Buyer provides solely for the purpose of enabling CraftLabs to produce, ship, and sell the Goods to Buyer.

9.2. Buyer shall retain sole ownership of the copyright in files, all text, illustrations, software files, and other materials provided by Buyer to CraftLabs, as well as any deliverables, designs, including modifications or derivative works thereof, that may be produced for Buyer during the course of CraftLabs performance of services.

9.3. CraftLabs retains sole ownership of all proprietary software, processes, and procedures developed by CraftLabs for the quoting, analysis, design, automation, and manufacturing of machined Goods, injection moulds, injection moulded Goods, and 3D printed Goods. CraftLabs also retains ownership of the copyright in all text, illustrations, or other materials provided by CraftLabs to Buyer in a quote. Buyer shall not, without prior written approval of CraftLabs (which may be withheld for any reason), remove any of CraftLabs markings or modify CraftLabs Intellectual Property in any way.

9.4. Buyer is prohibited from using CraftLabs trademarks, trade names, or any other indications in relation to the Goods, or making any public reference to CraftLabs, whether in press releases, advertisements, sales literature, or otherwise, except with CraftLabs prior written consent.

10. Buyer’s Representations

10.1. The Buyer represents and warrants that they have the legal authority and capacity to enter into these Terms and Conditions (either on behalf of themselves or the entity they represent) and are authorised to place an Order.

10.2. The Buyer further represents and warrants that they possess full rights and authority to provide CraftLabs with all data (including 3D CAD data and drawings), documentation, drawings, and specifications. The Buyer confirms that all data provided is accurate and truthful, and they have the authorisation to grant the license referred to in Section 9.

10.3. The Buyer acknowledges and agrees to comply with CraftLabs export control policy (the "Export Control Policy") as follows:

a. The Buyer understands that CraftLabs does not accept Export Controlled Data, defined as data controlled for export under UK Law. This includes technical data and/or end Goods controlled under the International Traffic in Arms Regulations or the Export Administration Regulations, beyond EAR99.

b. The Buyer certifies that their data (including 3D CAD data and drawings) and/or Order does not include Export Controlled Data.

c. The Buyer understands that uploading data to CraftLabs website constitutes exporting data to another country, acknowledging CraftLabs global operations and partnerships, outside of the UK.

d. The Buyer certifies that they understand and are responsible for providing accurate export classifications for the products and related technology and software to CraftLabs. CraftLabs relies on the Buyer for compliance with applicable export control laws. An incorrect classification could result in export control violations, which could in turn lead to significant fines and other sanctions.

e. The Buyer represents and warrants that the production, shipping, sale, and use of the Goods or tooling by CraftLabs in response to the Buyer’s Order does not violate any export control laws or regulations. f. The Buyer agrees not to sell, export, transfer, or otherwise dispose of any products, software, or technology received from CraftLabs to prohibited destinations, entities, or persons, and not to use Goods for any prohibited purposes.

g. The Buyer may not use CraftLabs' services if they are subject to UK restrictions or restrictions consistent with UK law imposed by governments of the country where Buyer is using CraftLabs services.

10.4. The Buyer further represents and warrants that their uploaded data (including 3D CAD data and drawings) and/or Order comply with CraftLabs' content policy (the “Content Policy”), ensuring that:

1. The data does not contain weapons, including firearms, bladed weapons, explosive devices, toy guns, or arms-related items.

2. The data does not violate intellectual property rights or any third-party rights.

3. The data does not contain harassing, racially or ethnically offensive, discriminatory, or harmful content.

4. The data will not be implanted in a human body or subjected to FAA inspection.

5. The data complies with all applicable laws and CraftLabs' Export Control Policy.

10.5. If the Buyer has any doubt about the compliance of their data (including 3D CAD data and drawings), Order, or the production, shipping, sale, and use of the parts or tooling with CraftLabs' Content Policy, they should refrain from uploading the data.

10.6. In the event of a violation of CraftLabs' Content Policy or any provision of these Terms and Conditions that creates liability for CraftLabs or any other person, CraftLabs reserves the right to take appropriate actions against the Buyer, including removing their data, terminating their account, and/or reporting them to law enforcement authorities. CraftLabs also reserves the right to seek damages from the Buyer to the fullest extent permitted by law.

11. Force Majeure

11.1. CraftLabs shall not be held responsible for any delay or failure in performance under this Agreement if such delay or failure is due to events beyond its reasonable control or acts commonly known as force majeure, including but not limited to war, riots, acts of terrorism, acts of God, pandemics, natural disasters, embargoes, strikes, power cuts, labour difficulties or other concerted acts of workers, inability to obtain materials, equipment, labour, or transportation, governmental restrictions, casualties, or accidents, failure by any of its manufacturing partners to meet their obligations, or any other causes or circumstances that prevent or hinder the manufacture or delivery of the Goods.

11.2. CraftLabs may suspend performance under an Order for as long as such performance is delayed by such occurrence or cancel the Order at its sole discretion, in which case CraftLabs is not liable for any resulting damages. In the event of any shortage of raw materials or other supplies, CraftLabs may allocate materials and supplies among its buyers at its sole discretion and shall have no liability to Buyer on account of any delay or cancellation thereof.

11.3. Nothing in this Section 11 will excuse Buyer from their payment obligations for amounts due and payable under an Order.

12. Disclaimer of Warranties

12.1. CraftLabs assumes no responsibility for the design of the goods subject to this transaction. Buyer retains sole legal responsibility for the design specifications and performance of the goods. Buyer is solely responsible for ensuring that the goods and services purchased from CraftLabs meet applicable regulatory requirements. CraftLabs further disclaims responsibility for material selection and suitability for Buyer’s application. CraftLabs is not responsible for the fit or assembly of Goods.

12.2. ANY GOODS OR TOOLING IS PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS. CRAFTLABS (OR CRAFTLABS' MANUFACTURING PARTNERS) MAKE(S) NO WARRANTIES OR REPRESENTATIONS OF ANY KIND WITH RESPECT TO ANY GOODS OR SERVICES, WHETHER EXPRESS, IMPLIED, CONTRACTUAL, OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. IF MANDATORY LAW REQUIRES ANY (STATUTORY) WARRANTIES WITH RESPECT TO THE GOODS OR TOOLING, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF DELIVERY.

12.3. Without limiting the generality of the foregoing, CraftLabs assumes no responsibility or liability for the selection of any materials for the goods. Buyer is solely responsible for ensuring that materials meet any applicable regulatory requirements or specifications. Any statements made by CraftLabs personnel or specifications provided by CraftLabs regarding materials should be verified by Buyer with the manufacturer of that material. 4. No advice or information, whether oral or written, obtained from CraftLabs, through the website, or any representative will create any warranty not expressly made herein.

13. Limitation of Liability

13.1. CRAFTLABS (OR CRAFTLABS' MANUFACTURING PARTNERS) DO(ES) NOT ACCEPT LIABILITY FOR GOODS NOT BEING AVAILABLE FOR USE, OR FOR LOST REVENUE OR PROFITS, OR LOSS OF BUSINESS, OR OTHER ECONOMIC LOSS. IN NO EVENT SHALL CRAFTLABS (OR CRAFTLABS' MANUFACTURING PARTNERS) BE LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY CLAIMS, ACTIONS, INJURY, PERSONAL INJURY, OR DEATH, LOST PROFITS, LOST DATA, LOST INCOME, LOSS OR DAMAGE TO PROPERTY, COSTS OF PROCUREMENT, OR SUBSTITUTE PRODUCTS OR ANY DIRECT OR INDIRECT, COMPENSATORY, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND, WHETHER FOR BREACH OF ANY WARRANTY, FOR BREACH OF ANY OTHER TERM OR CONDITION, FOR NEGLIGENCE, ON THE BASIS OF STRICT LIABILITY IN TORT, OR OTHERWISE ARISING OUT OF OR RELATING TO PARTS, TOOLING, ORDERS, DELIVERY, OR OTHERWISE RELATING TO THESE TERMS AND CONDITIONS.

13.2. CRAFTLABS' (OR CRAFTLABS' MANUFACTURING PARTNERS’) LIABILITY TO BUYER UNDER THESE TERMS AND CONDITIONS SHALL IN NO EVENT EXCEED THE TOTAL SUM PAID BY BUYER TO CRAFTLABS FOR THE ORDER UNDER WHICH THE LIABILITY AROSE. THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. BUYER AGREES THAT CRAFTLABS' MANUFACTURING PARTNERS WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THESE TERMS AND CONDITIONS.

13.3. Because some jurisdictions limit or do not allow certain exclusions or limitations of warranties or liability, Sections 12 and/or 13 may not partially or entirely apply to Buyer. To the extent that any such limitation or exclusion of liability or warranty is circumscribed, it shall be limited to the least extent possible under applicable law. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy provided herein.

14. Indemnification

14.1. Buyer agrees to defend, indemnify, and hold harmless CraftLabs (including its officers, directors, employees, representatives, and agents), its affiliates (and their officers, directors, employees, representatives, and agents), and its and its affiliates’ subcontractors (including manufacturing partners) from and against all claims, losses, liabilities, penalties, third-party claims, damages, fines, governmental sanctions, and other expenses (including attorneys’ fees, litigation expenses, interests, customs duties, and taxes) resulting from or arising out of:

1. Buyer’s breach of the Order or these Terms and Conditions;
2. Any acts or omissions by Buyer related to CraftLabs performance under an Order or these Terms and Conditions;
3. Any use, distribution, and/or sale of Goods; and
4. Any third-party claim (including government authorities) arising out of an Order or these Terms and Conditions or the production, shipping, or sale of the Goods or otherwise arising out of Buyer’s data (including 3D CAD data and/or drawings), including but not limited to a claim that the use of such data or technical drawing or the production, shipping, or sale of Goods violates any applicable law, or any third-party claim for infringement of intellectual property rights.

14.2. Buyer will, if instructed by CraftLabs, defend CraftLabs from any third-party claim covered by the indemnity under Section 14.1 (“Third Party Claim”), at Buyer’s expense, using counsel reasonably acceptable to CraftLabs. Buyer will not consent to any settlement or judgment of any Third-Party Claim without CraftLabs prior written consent. CraftLabs may participate in the defence of any Third-Party Claim with CraftLabs own counsel at CraftLabs own expense.

14.3. CraftLabs reserves the right, at Buyer’s expense, to assume the exclusive defence and control of any matter for which Buyer is required to indemnify CraftLabs, and Buyer agrees to cooperate with CraftLabs defence of these claims. Buyer agrees not to settle any matter without CraftLabs prior written consent. CraftLabs will use reasonable efforts to notify Buyer of any such claim, action, or proceeding upon becoming aware of it.

15. Confidentiality

15.1. CraftLabs shall not disclose, and shall procure that its employees and subcontractors shall not disclose, any data (including 3D CAD data), documentation, drawings, and specifications provided by Buyer, other than to its affiliates and subcontractors as necessary to produce, ship, and sell the Goods to Buyer. This restriction will not apply in the event of a legal obligation or duty to disclose the information or when the information is or becomes (publicly) known or is independently developed by CraftLabs, its employees, or its contractors without the use of such information, or if the information is disclosed to CraftLabs by a third party.

16. Termnination

16.1. Without prejudice to any other rights CraftLabs may have under these Terms and Conditions or the applicable laws, CraftLabs has the right to immediately terminate Buyer’s Order and/or Buyer’s account in whole or in part if, in its sole discretion:

 1. Buyer is declared bankrupt, is granted a (temporary) moratorium on payment of Buyer’s debts, if Buyer has filed a petition for bankruptcy or if a receiver is appointed for Buyer,

2. Buyer goes into liquidation or there is a threat of suspension of payments,

3. Buyer ceases, or threatens to cease, to carry on Buyer’s business,

4. Buyer or Buyer’s representatives make any libellous or slanderous statement, or are hostile or abusive against CraftLabs, its employees, or its representatives; or

5. Buyer breaches these Terms and Conditions.

16.2. Upon termination pursuant to Section 16.1, CraftLabs shall not have any liability for or obligation to deliver the Goods. Any amounts that Buyer paid CraftLabs are nonrefundable, and any amounts that Buyer still owes CraftLabs under the Order become immediately due and payable in full.

16.3. Once in production, as the Goods are produced for Buyer based on Buyer’s specifications (made to order), it is not possible for Buyer to cancel or terminate the Order without cost. In the event of termination, CraftLabs reserves the right to invoice Buyer for all goods produced or services performed prior to receipt of notice of termination as well as for any materials used or purchased to make the Goods.

17. Miscellaneous

17.1. If any provision of these Terms and Conditions is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms and Conditions will remain unaffected, and the invalid or unenforceable provision will be modified to the maximum extent permitted by law to achieve its original intent and enforceability. The remaining provisions shall continue to be enforced.

17.2. These Terms and Conditions shall be construed as if both parties drafted them jointly, and neither party shall be construed as the principal drafter.

3. Any waiver by CraftLabs of any right or remedy under these Terms and Conditions shall only be effective if it is in writing, executed by a duly authorised representative of CraftLabs, and shall apply only to the circumstances for which it is given. CraftLabs failure to exercise or enforce any right or provision of these Terms and Conditions shall not operate as a waiver of such right or remedy, nor shall it prevent any future exercise or enforcement of such right or remedy. No single or partial exercise of any right or remedy shall preclude or restrict the further exercise of any such right or remedy or other rights or remedies.

17.4. Orders and these Terms and Conditions, including Buyer’s rights and obligations therein, may not be assigned, subcontracted, delegated, or otherwise transferred by Buyer without CraftLabs prior written consent. Any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. CraftLabs may freely assign any Order or these Terms and Conditions. The terms and conditions set forth in any Order or these Terms and Conditions shall be binding upon assignees.

17.5. All notices sent under these Terms and Conditions shall be in writing and delivered by prepaid commercial courier or by email. Notices to CraftLabs shall be sent to Craft Laboratories LTD at The Granary, Burley Lane, Ashe, Basingstoke, RG25 3AG, Hampshire, England, UK, and info@CraftLabs.co.uk, while notices to Buyer shall be sent to the contact person provided by Buyer in Buyer’s Order. Notices are deemed delivered upon dispatch of mail or email.

17.6. These Terms and Conditions, together with an accepted Order, the Privacy Policy (defined below), and CraftLabs Terms of Use, constitute the entire agreement between the parties relating to the subject matter herein and supersede all previous agreements, arrangements, and undertakings between the parties with respect to that subject matter (including but not limited to provisions in Buyer’s Order that are rejected).

17.7. All provisions within these Terms and Conditions intended to survive the termination or expiration of an Order, including but not limited to Buyer’s payment obligations and Sections 2 through 18, shall survive.

17.8. These Terms and Conditions are subject to occasional revision. If CraftLabs makes any substantial changes, CraftLabs may notify Buyer by sending Buyer an email to the last email address Buyer provided to CraftLabs (if any) and/or by prominently posting notice of the changes on CraftLabs website. Buyer is responsible for providing CraftLabs with Buyer’s most current email address. If Buyer does not place an Order within thirty (30) calendar days following CraftLabs dispatch of an email notice to Buyer (if applicable) or thirty (30) calendar days following CraftLabs posting of the changes on CraftLabs website (if applicable), nor explicitly objects to the applicability of the changes in writing within thirty (30) calendar days after CraftLabs dispatch of the email notice or (if applicable) CraftLabs posting of the changes on CraftLabs website, then the expiration of the thirty (30) days will indicate Buyer’s acknowledgment of such changes.

17.9. If, contrary to Section 1 hereto, these Terms and Conditions are used in a situation in which Buyer is a consumer and not a professional customer, some terms and conditions will not apply to Buyer. In this case, these Terms and Conditions are applicable to the extent permitted by applicable consumer law; Buyer’s rights under these laws are not affected or limited by these Terms and Conditions. Because Buyer’s Goods are custom-made to order, no right (statutory or otherwise) of withdrawal or cancellation applies.

17.10. Information about how CraftLabs collects and/or processes Buyer’s personal data is provided in CraftLabs privacy policy ("Privacy Policy").

17.11. Buyer’s relationship to CraftLabs is that of a user, and neither party is an employee, agent, partner, franchisee, owner, joint venturer, or representative of the other party.

17.12. The communications between Buyer and CraftLabs use electronic means, whether Buyer uses CraftLabs website or sends CraftLabs emails, or whether CraftLabs posts notices on CraftLabs website or communicates with Buyer via email. For contractual purposes, Buyer (a) consents to receive communications from CraftLabs in an electronic form; and (b) agrees that all terms and conditions, agreements, notices, disclosures, and other communications that CraftLabs provides to Buyer electronically satisfy any legal requirement that such communications would satisfy if they were in hardcopy writing. The foregoing does not affect Buyer’s non-waivable rights.

17.13. The contractual relationship is non-exclusive. Each party is free to contract with other third parties subject to its obligations under these Terms and Conditions. Buyer agrees that nothing (including reviewing Buyer’s files and/or quote) will preclude CraftLabs from manufacturing other parts or working with other companies, whether or not those companies or parts are substantially similar to, or competitive with, Buyer’s files, Goods, or Order and/or the services that CraftLabs provides to Buyer.

17.14. All words, phrases, terms, and meanings under these Terms and Conditions shall only be construed and interpreted in the English language. All notices, documents, legal, or arbitration proceedings initiated or given pursuant to these Terms and Conditions shall be in the English language only.

18. Governing Law and Exclusive Forum

18.1. The applicability of the UN Convention on the International Sale of Goods is excluded.

18.2. Unless provided otherwise by operation of applicable mandatory law, any dispute, claim, cause of action, or proceeding arising out of or in connection with these Terms and Conditions, the relationship between CraftLabs and Buyer, or Buyer’s use of CraftLabs services, on any basis whatsoever, shall be brought to the exclusive jurisdiction of the courts of England and Wales. The parties shall submit to the exclusive jurisdiction of such courts and waive any and all jurisdictional, venue, and inconvenient forum objections to such courts. The laws and exclusive jurisdiction of the courts of England and Wales will apply to any disputes arising out of or relating to these Terms and Conditions, without regard to conflict of laws principles.
